July opened the second half of the year at a new high, with 553,918 new business formations recorded nationwide. Beyond the raw formation count, 2026 has beaten 2025 (and 2024) by nearly every metric.

July's total topped last July by 6%. Total monthly formations are also up 21% over the past two years, from 455,830 in July 2024. Since the start of the year, the country has logged 4.12 million new business formed, up 15% from the same time span in 2025.

Formations this July dipped slightly, down 4.3% compared to last month, but it’s important to remember what was happening at this time last year in Washington, D.C. On July 4, 2025, the One Big Beautiful Bill Act was signed into law. This sweeping federal tax law made the pass-through business deduction permanent and restored full bonus depreciation. Both moves helped lower the cost of starting and running a business, creating legislative tailwinds that drove elevated formation numbers.

That means this year’s July slump might not be a slump at all. More likely, it’s a return to the norm—a typical seasonal slowdown that reflects normal business conditions. Even with last year's month-over-month numbers as the outlier, this July is still the highest July on record, once again continuing the upward trend of 2026.

46% YEAR OVER YEAR

Consistent growth in North Dakota.

North Dakota has reported double-digit year-over-year growth every month this year, continuing the trend with a 46% increase in July. State-sponsored funding, like the Legacy Investment for Technology (LIFT) program, rural development grants, and expanded Registered and Youth Apprenticeships, may be contributing the state’s consistent growth in new business formations.

60% YEAR OVER YEAR

Mississippi keeps climbing.

Mississippi has remained in the spotlight for posting some of the strongest year-over-year growth in the country, and July was no exception. The state posted 31% in February, 30% in March, then climbed into the high 40s through the spring and summer: 49% in April, 47% in May, 46% in June. This month, formations capped that run with a 60% increase over July of 2025, and 18% month-over-month gains, running counter to the national statistic.

43% YEAR OVER YEAR

Oregon formations accelerate despite a mixed business environment.

July's 43% year-over-year increase marks the state’s seventh straight month of growth above 30%, ranging as high as 64% in March. The timing of this growth is notable, since the overall business environment is less than favorable: Oregon posted its lowest-ever CNBC business climate ranking this year.

The state’s job market tells a similar story: while the state saw modest job growth recently, it’s concentrated almost entirely around data center expansion, according to a Q2 2026 jobs report from Oregon Business & Industry.

The Registered Agents Inc (RAI) New Business Formation Report measures business formation activity by tracking new entity filings at the state level across all 50 states and the District of Columbia. Each time a business is formally created through a filing with a secretary of state or equivalent agency, it is counted as one new formation in our dataset. Because state-level reporting timelines can vary, data is based on the most recent figures available at the time of publication and may be updated as states revise or finalize their counts.

Where does the data come from?

Business formation data is collected from the Secretary of State or equivalent agency of each state, plus Washington, D.C., as it becomes available on a monthly basis.  This approach captures the full universe of new business entities, regardless of whether those businesses go on to apply for an Employer Identification Number (EIN) or hire employees.

• The U.S. Census Bureau only tracks businesses that apply for EINs and later go on to pay payroll taxes.
• Registered Agents Inc tracks every entity formed at the state level.

The RAI Business Formation Report counts all new business entities. Each time someone takes the step to file formation paperwork with their state’s secretary of state or equivalent agency, our report counts that as one formation. This is regardless of whether or not the business goes on to apply for an EIN and pay payroll taxes.

Because the U.S. Census Bureau only tracks EIN filings, the statistics the agency reports do not capture a complete picture of business formations in the country. A large portion of new businesses never obtain an EIN or go on to hire employees, and these businesses are not counted by the U.S. Census Bureau. As a result, Census data does not fully reflect total business formation activity. By contrast, RAI data provides a more comprehensive and immediate view of entrepreneurial activity in the United States.

Why are so many businesses formed in Delaware?

Delaware is a popular state to start a business in for a few reasons. First, it has strong privacy protections, allowing owners to start a business without listing their personal information on the public record. Secondly, there’s no state corporate income tax on income earned out of state. This benefits businesses operating outside of Delaware, but incorporated within the state.

Why do so many businesses file in Wyoming?

Many remote businesses choose to file in Wyoming because the state offers strong privacy protections. Wyoming is one of the few states in the country where LLC owners do not have to list their names and addresses on the public record (if they hire a registered agent).

What does the report consider a business formation?

Every time someone files Articles of Organization or Incorporation with their state business division, we count that as one business formation.

Unlike the US Census Bureau Business Statistics report, we do not differentiate between business entities that go on to hire employees and file payroll taxes. We count every entity formed, so our numbers include holding companies, single-member LLCs, and non-employer businesses.
